1. About BookedFirst

BookedFirst is a product owned and operated by Lionshead Digital Inc., a digital agency. References to "BookedFirst," "we," "us," or "our" in these Terms refer to Lionshead Digital Inc.

2. Agreement to Terms

By accessing our website, using our live demo, or engaging BookedFirst for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

3. Services

BookedFirst designs, builds, and maintains custom AI automation solutions for home service contractors, including AI chat assistants, voice agents, automated lead follow-up, and appointment booking integrations. The specific scope of services is defined at the time of engagement.

4. Live Demo

Our website offers a free live demo that builds a custom AI assistant using your business information. By submitting the demo form, you:

  • Authorize us to use the information you provide to generate your demo
  • Acknowledge that your business data will be processed through our automation workflows and third-party AI platforms
  • Understand the demo is provided for evaluation purposes only and does not constitute a service agreement
  • Agree to receive communications related to your demo if you provided consent on the form

5. Payment

The following payment terms apply to all paid engagements:

  • Setup fees are due prior to or at the start of build work and are non-refundable once work has commenced.
  • Monthly service fees are billed in advance and cover ongoing hosting, platform access, maintenance, and support for the current billing period.
  • AI usage fees for the underlying AI models and voice services are billed separately and directly to your account by the respective providers. Usage varies based on call and message volume. These fees are not included in the monthly service fee.
  • All fees are in US dollars. Late or failed payments may result in suspension of services.

6. Acceptable Use

You agree not to use our services or demo to:

  • Violate any applicable law or regulation
  • Transmit spam, harassment, or unlawful content through AI-powered communications
  • Attempt to reverse-engineer, copy, or replicate our platform or proprietary systems
  • Misrepresent your identity or business information
  • Interfere with or disrupt our services or infrastructure

7. Intellectual Property

Upon receipt of full payment, you own the business-specific content and logic built for your deployment, including your trained AI assistant's knowledge base, custom scripts, and configured workflows.

BookedFirst retains ownership of the underlying platform architecture, proprietary build processes, automation frameworks, and any tools or systems used to build and deliver your solution. Nothing in these terms transfers ownership of our platform or methodology to you.

8. Third-Party Services

Our services are built on and integrated with third-party platforms including GoHighLevel, n8n, Retell AI, and third-party AI model providers. Your use of these platforms through our services is also subject to their respective terms of service and privacy policies. BookedFirst is not responsible for the actions, availability, or policy changes of any third-party provider.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available." BookedFirst makes no warranties, express or implied, regarding the accuracy, reliability, or fitness for a particular purpose of our AI assistants or any other services. AI-generated responses are automated and may not always be accurate. You are responsible for reviewing and supervising how your AI assistant represents your business.

10. Limitation of Liability

BookedFirst is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, missed appointments, or AI response errors. Our total liability for any claim arising from our services is limited to the fees you paid to BookedFirst in the three months preceding the claim.

11. Termination

Either party may terminate the monthly service agreement with 30 days written notice. Upon termination:

  • Access to the hosted service will end at the close of the current billing period
  • No partial refunds are issued for the remaining days of a paid billing period
  • We will make your business-specific configuration available for export upon request for 30 days following termination
  • BookedFirst may terminate services immediately for violation of these terms or non-payment

12. Governing Law

These Terms of Service are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of California.

13. Changes to These Terms

We may update these Terms of Service from time to time. We will update the date at the top of this page when we do. Continued use of our services after changes are posted constitutes acceptance of the revised terms. For significant changes, we will make reasonable efforts to notify active clients directly.

14. Results Disclaimer

The performance statistics, revenue projections, and outcome estimates referenced on our website and in our marketing materials are based on general industry data and results observed across client deployments. Individual results will vary based on factors outside BookedFirst's control, including but not limited to your market, call volume, service area, business responsiveness, pricing, and local competition.

Nothing on our website or in our sales materials constitutes a guarantee of specific revenue, lead capture, booking volume, or return on investment. You are responsible for evaluating whether our services are appropriate for your business.

15. Promotional Pricing and Special Offers

From time to time, BookedFirst may offer promotional pricing, founding rates, beta pricing, or other discounted rates to select customers (each a "Promotional Rate"). The following terms apply to all such offers:

  • Locked-in rates mean the Promotional Rate will not increase for the customer it was extended to, provided their subscription remains continuously active and in good standing. A Promotional Rate is specific to the customer and plan to which it was originally offered and is non-transferable.
  • Forfeiture: A Promotional Rate is forfeited if the subscription is cancelled, lapses due to non-payment, or is voluntarily changed in a way that terminates the original agreement. Reactivation after cancellation or a payment lapse is subject to then-current standard pricing.
  • Plan changes: Upgrading to a different plan tier may affect the Promotional Rate applicable to the new tier. The terms of any such change will be communicated at the time of the upgrade request.
  • Participation requests: Some Promotional Rates may be offered in connection with an informal request for feedback, a testimonial, or case study participation. Such requests are not contractual obligations. A customer's Promotional Rate is not contingent on fulfilling any participation request unless that condition is stated explicitly in a separate written agreement signed by both parties.
  • Discontinuation: BookedFirst reserves the right to discontinue any promotional pricing program for new customers at any time without notice. Customers with an active locked-in Promotional Rate are not affected by such discontinuation for as long as their subscription remains in good standing.
